Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Pherey platform, website, and mobile applications (the "Platform"), and the wedding and event services we provide (together, the "Services"). The Platform and Services are operated by Entuo Labs Private Limited ("Pherey", "we", "us", or "our").
By accessing or using the Platform, or by booking a Service through us, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Platform.
1. Definitions
- "Booking" means a confirmed order for Services placed by you.
- "Content" means any text, photographs, videos, reviews, ratings, comments, and other materials available on the Platform.
- "Services" means the wedding and event services we arrange and provide as principal by engaging Vendors to fulfil your Booking.
- "Planning Tools" means the software tools and features we provide to help you organise your wedding, including planning and task tracking, budgeting, guest-list and RSVP management, the event page, messaging, and team collaboration, as described in Section 19.
- "User Content" means Content you submit, including reviews, ratings, photographs, guest information, and messages.
- "Vendor" means an independent contractor we engage to fulfil all or part of a Booking.
- "You" means the person accessing the Platform, using the Planning Tools, or booking a Service.
2. Acceptance of Terms
By accessing or using the Platform as a visitor or registered user, you agree to be bound by these Terms, as updated from time to time. If you do not agree, you must stop using the Platform.
3. Eligibility and authority
You must be at least 18 years old and capable of entering into a legally binding contract under Indian law. If you use the Platform on behalf of another person or an entity, you confirm that you are authorised to bind them to these Terms.
4. About the Services — our role
Pherey provides the Services to you as principal. To deliver them, we engage independent Vendors (such as makeup and mehendi artists, photographers, choreographers, anchors, performers, decorators, and caterers) to fulfil all or part of a Booking.
You contract with Pherey for the Services. Vendors are independent contractors engaged by us — they are not your counterparty and are not our employees or agents. We remain responsible to you for the Services, in accordance with and subject to the limits set out in these Terms.
We also provide Planning Tools — software features to help you organise your wedding, including planning, budgeting, guest management, an event page, messaging, and team collaboration — as described in Section 19.
5. Accounts, security, and communications
- You agree to provide accurate, current, and complete information, keep it updated, and keep your login credentials secure. You are responsible for activity under your account.
- Communications consent: You agree that we may contact you by email, SMS, WhatsApp, call, and in-app notifications for operational and service-related purposes (such as booking confirmations, payment and security notices, reminders, and updates). You may receive marketing communications only where you have consented, and you can opt out of those at any time.
6. Bookings, pricing, and payment
- Pricing shown for a Service is the total price payable, inclusive of applicable GST, unless stated otherwise.
- A Booking is confirmed once we accept it and you have paid any amount required to confirm it.
- We may require an advance or deposit at booking, with the balance payable as specified at checkout. Payments are processed through our payment-gateway partner.
- We will issue you an invoice for the Services, reflecting GST where applicable.
7. Changes, cancellations, and refunds
- Cancellation by you is subject to the cancellation and refund terms presented to you at the time of bookingfor the relevant Service. These terms — including any non-refundable amounts and the refund payable depending on how far before the event you cancel — may vary by Service and Vendor, and will be shown to you before you confirm and pay for the Booking. They are also summarised in our Cancellation & Refund Policy.
- Changes by you are subject to availability and may incur additional charges.
- If we cannot provide a confirmed Service, we will use reasonable efforts to arrange a suitable replacement of equivalent standard; if we cannot, we will refund the amounts paid for the affected Service. This is your sole remedy in such cases, subject to Section 16.
- Approved refunds are processed to your original payment method within 14 business days.
8. Your responsibilities
You agree to provide accurate booking information; provide safe and lawful venue access and reasonable working conditions for Vendors; obtain any venue permissions that are your responsibility; and not misuse the Platform.
9. Licence to use the Platform, and restrictions
- We grant you a limited, personal, revocable, non-transferable, non-sublicensable licence to access and use the Platform for its intended purposes.
- You must not: (a) copy, scrape, crawl, harvest, or extract data from the Platform; (b) reverse-engineer, decompile, or attempt to access source code; (c) use bots, scrapers, or automated means without our written permission; (d) reproduce or commercially exploit our Content; or (e) use the Platform or its data to build or support a competing product or service.
10. User Content
- You retain ownership of your User Content. By submitting it, you grant us a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, use, reproduce, reformat, display, and distribute it for operating, promoting, and improving the Platform and Services, and for safety and fraud-prevention purposes.
- You are responsible for your User Content and confirm you hold all rights necessary to submit it and that it does not infringe any third-party rights.
- We may remove or restrict User Content that is unlawful, infringing, or in breach of these Terms.
11. Reviews and ratings
- Reviews and ratings are users' personal opinions and experiences; we do not endorse or guarantee their accuracy.
- You must not: post fake reviews or reviews without a genuine experience; offer or solicit compensation for reviews; coordinate review manipulation; or post defamatory or unlawful content.
- We may moderate, restrict, or remove reviews that breach these Terms, and a Vendor may report a review they believe is false or in breach, which we may investigate. We are not obliged to remove a review merely because a Vendor disagrees with it; genuine reviews, including critical ones, may remain.
- We may decline reviews submitted more than two (2) years after the relevant event, to maintain relevance.
12. Prohibited conduct
You must not use the Platform to: post content that is unlawful, defamatory, obscene, infringing, hateful, or harassing; impersonate any person or entity; harass or spam other users; attempt unauthorised access or interfere with the Platform's operation; manipulate rankings or reviews; or misuse contact or personal data (including for unsolicited marketing).
13. Intellectual property
The Platform and all Content, trademarks, logos, designs, and software we provide (excluding User Content and Vendor content) are owned by or licensed to Pherey and protected by law. You may not use them without our written permission.
14. Third-party services and integrations
The Platform relies on third-party services (such as payment processors, hosting, analytics, communications, and customer-support tools). We do not control and are not responsible for the practices or conduct of those providers, and your interactions with them may be governed by their own terms and privacy policies.
15. Intermediary status (for user and third-party content)
In respect of the Services, Pherey acts as principal (Section 4) and remains responsible to you as set out in these Terms.
Separately, in respect of User Content and other third-party content hosted on the Platform (such as reviews, ratings, and user-submitted media), Pherey acts as an intermediary. Such content is the responsibility of the user who submitted it, and we exercise only reasonable moderation to maintain the integrity of the Platform. We are entitled to the protections available to intermediaries under applicable law, including the Information Technology Act, 2000 and rules made under it, provided we act on valid complaints and lawful orders as described in Section 16.
16. Notice and takedown
If you believe any Content on the Platform infringes your intellectual-property or other legal rights, is defamatory, or is otherwise unlawful, you may send a written notice to our Grievance Officer (Section 25) identifying the Content, the legal basis for your complaint, supporting information, your contact details, and a statement that the information is accurate. On receiving a valid notice, we may restrict or remove the Content, seek clarification from the relevant user, and/or comply with applicable legal obligations. We may reject or seek clarification on notices that are incomplete, abusive, or made in bad faith.
17. Data protection and privacy
Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms and is consistent with the Digital Personal Data Protection Act, 2023. Where you provide us with your guests' personal data for the website or messaging features, Section 19 applies.
18. Our liability
Please read this section carefully.
- We are responsible for providing the Services with reasonable care and skill, subject to the limits below.
- Cap: to the maximum extent permitted by law, our total liability arising out of or in connection with any Booking or the Services is limited to the total amount you paid us for the specific Service giving rise to the claim.
- Excluded losses: to the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential losses, or loss of profit, opportunity, or goodwill.
19. Planning, guest, and collaboration tools
We provide software tools and features to help you plan your wedding (the "Planning Tools"), including planning and task tracking, budgeting, guest-list and RSVP management, a wedding event page, messaging, and team collaboration. The following applies to the Planning Tools.
- 19.1 General. The Planning Tools are provided as organisational aids on an "as is" and "as available" basis. Budget figures, estimates, reminders, summaries, and similar outputs are for your convenience only, do not constitute financial, tax, legal, or other professional advice, and may contain inaccuracies. You remain responsible for your own decisions and for the accuracy of the information you enter.
- 19.2 Budgeting (Accountant). The budgeting tool helps you record and track planned and actual spending. It is an estimation and tracking aid only; we do not guarantee the accuracy or completeness of any figure, and you are responsible for verifying your own financial information.
- 19.3 Planning and tasks (Planner). The planning tool helps you organise tasks and ceremonies. Reminders and timelines are provided to assist you; we are not responsible if a reminder is missed, delayed, or not delivered.
- 19.4 Guest management and RSVP (Host). You are responsible for the guest information you add and for having the necessary consent or lawful basis to provide it (see Section 17). We process guest data on your behalf and on your instructions to provide the guest-list, RSVP, invitation, and messaging features.
- 19.5 Event page / wedding website. You control the content you publish on your event page and whether it is made public or shared by link. You must not publish unlawful, infringing, or misleading content, and we may restrict or remove an event page that is misused. You are responsible for how and with whom you share it.
- 19.6 Messaging.When you send invitations, reminders, or updates to your guests through the Platform, you are responsible for your content and chosen recipients, must not send unlawful, misleading, or unsolicited communications, and must comply with applicable messaging rules and third-party platform policies (for example, WhatsApp's). We may suspend the messaging features if they are misused.
- 19.7 Team and collaborators. You may invite others (such as your partner, family members, or a wedding planner) to your wedding workspace and assign them roles and permission levels (for example, owner, editor, or viewer; or partner or collaborator access). You are responsible for whom you invite, the access you grant, and their use of the Platform. Collaborators must comply with these Terms. We act on the instructions of any user who appears to hold the relevant permissions, and we are not responsible for the access you grant or for any dispute within your team.
- 19.8 Vendor discovery and introductions.If you choose to let Vendors reach out to you (for example, our "let vendors say hi first" feature), you consent to us sharing relevant details of your wedding and your stated preferences with relevant Vendors so they can contact you with offers. You can change this preference at any time. Vendor communications through the Platform are subject to these Terms and applicable law.
Your use of the Planning Tools is also subject to Sections 9 to 12 (licence, content, reviews, and conduct) and Section 17 (data protection).
20. Disclaimers
The Platform, its software, the Planning Tools, and any third-party or user-generated Content on it, are provided "as is" and "as available". We do not warrant that the Platform or the Planning Tools will be uninterrupted, error-free, or accurate, and we do not guarantee the accuracy of user-submitted or third-party Content. This Section applies to the Planning Tools and the Platform, and does not limit our responsibility for the Services under Section 4, our liability under Section 18, or your statutory rights.
21. Indemnity
You agree to indemnify and hold us harmless from claims, losses, and expenses arising from your breach of these Terms, your misuse of the Platform, your User Content, or your failure to obtain consents required for guest data you provide.
22. Suspension and termination
We may suspend, restrict, or terminate your access if you breach these Terms, misuse the Platform, engage in fraud or abuse, or where required by law. You may stop using the Platform at any time. Provisions that by their nature should survive will survive termination.
23. Force majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, acts of government, strikes, cyber-attacks, utility or telecommunications failures, epidemics, or acts of war or terrorism.
24. Governing law and dispute resolution
- These Terms are governed by the laws of India.
- Subject to your rights as a consumer, any dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator, with the seat and venue at Noida, Uttar Pradesh and proceedings in English.
- Nothing in this Section prevents you from approaching the appropriate consumer forum under the Consumer Protection Act, 2019.
- Subject to the above, the courts at Uttar Pradesh shall have jurisdiction.
25. Grievance redressal
In accordance with the Consumer Protection (E-Commerce) Rules, 2020 and the Information Technology Act, 2000, you may contact our Grievance Officer at grievance@pherey.com.
We will acknowledge complaints within 7 working days and endeavour to resolve them within the timelines required under applicable law.
26. Changes to these Terms
We may update these Terms from time to time, posting the updated version with a revised "Last updated" date and, where required, notifying you. Continued use after changes take effect constitutes acceptance.
27. General
- Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and us on their subject matter.
- Severability: If any provision is held invalid, the remainder continues in effect.
- Waiver: Our failure to enforce a right is not a waiver of it.
- Assignment: You may not assign your rights without our consent; we may assign to an affiliate or successor.
- No third-party rights: No one other than the parties has rights to enforce these Terms.
- Survival: Sections that by their nature should survive (including 9–18, 20, 21, 24, and 27) survive termination.
